The Board of Directors of Affinity Gaming (the "Company") sets high standards for the Company's employees, officers and directors. Implicit in this philosophy is the importance of sound corporate governance. It is the duty of the Board of Directors to serve as a prudent fiduciary for shareholders and to oversee the management of the Company's business. To fulfill its responsibilities and to discharge its duty, the Board of Directors follows the procedures and standards that are set forth in these guidelines. These guidelines are subject to modification from time to time as the Board of Directors deems appropriate in the best interests of the Company or as required by applicable laws and regulations.

Tony Rodio

Chief Executive Officer

Mr. Rodio joined the Affinity team in October of 2018 with over 37 years of experience in the casino industry.

Mr. Rodio started his gaming career in 1980 as an accounting clerk and transitioned into the management ranks, holding a succession of executive positions for casino brands including Harrah's Entertainment, Trump Marina Hotel Casino, the Atlantic City Hilton Casino Resort and Penn Gaming.

Directly before joining the Affinity team, Mr. Rodio served as Chief Executive Officer and President of Tropicana Entertainment Inc. for over 7 years. During his tenure, he oversaw the deployment of over $400M in capital improvements and increased EBITDA by 135%.

He has also served on the boards of professional and charitable organizations including Atlantic City Alliance, United Way of Atlantic County, the Casino Associations of New Jersey and Indiana, AlantiCare Charitable Foundation, and the Lloyd D. Levenson Institute of Gaming Hospitality & Tourism.

Mr. Rodio holds a Master of Business Administration from Monmouth University and a Bachelor of Science from Rider University.

Mary Beth Higgins

Executive Vice President
Chief Financial Officer

Ms. Higgins joined the Affinity team in January of 2018 with nearly 20 years’ experience in the gaming sector, focusing on strategic financial management, capital formation, acquisition strategies and investor relations.
Before joining Affinity, she was instrumental in establishing VICI Properties, a REIT spinoff from Caesars Entertainment Operating Company, Inc. (CEOC), serving as Chief Financial Officer.

From 2014 to 2017, she was the Chief Financial Officer of CEOC, the largest subsidiary of Caesars Entertainment Corporation, where she oversaw finances across 38 casino locations in 14 U.S. states as well as in 5 countries.

Earlier in her career, Ms. Higgins served as Chief Financial Officer at companies such as Global Cash Access Holdings, Inc., Herbst Gaming, Inc., and Camco, Inc.

Ms. Higgins was recently added to the board of trustees of Chatham Lodging Trust NYSE “CLDT”.

Ms. Higgins has a Bachelor of Science degree from the University of Southern California and a Master’s degree in Business Administration from Memphis State University.

Eric Fiocco

Senior Vice President
Chief Marketing Officer

Mr. Fiocco joined Affinity Gaming in November of 2018 bringing nearly four decades of gaming and casino experience.

Prior to joining Affinity, Mr. Fiocco, served as Chief Marketing Officer of Tropicana Entertainment Inc. where he was responsible for all marketing operations across eight Tropicana properties. In leading the development and execution of marketing initiatives and brand strategy at Tropicana, Mr. Fiocco helped drive significant annual net revenue growth from 2012 to 2017.

Mr. Fiocco also served as Senior Vice President of Casino Operations and Marketing for Resorts Casino Hotel and Atlantic City Hilton. He began his career at Caesars Atlantic City in its table games department and quickly climbed the ranks, from dealer to Vice President of Operations and Marketing

Mr. Fiocco holds a Bachelor of Science in Marketing from Stockton State College in Pomona, New Jersey.

Human Resources

Ms. Subaric joined the Affinity team in July 2016 from Las Vegas Sands Corp., Venetian Palazzo Casino Resort, where she served as the Director of Human Resources since 2011. During her time at the five-diamond luxury resort hotel casino, she successfully led a team of Human Resource Professionals supporting 8,000 employees in multiple areas of Human Resources.

Prior to that, she served in various Human Resource capacities at Caesars Entertainment Corporation, formerly known as Harrah’s Entertainment Inc. from 2003 to 2011.

Ms. Subaric graduated with a Bachelor of Arts from Illinois State University and is fluent in Spanish and Serbo-Croatian.

Joe Long

Vice President
Chief Information Officer

With more than 35 years of experience in managing enterprise level technologies, Mr. Long joined Affinity Gaming as Vice President and Chief Information Officer in December 2018.

Mr. Long previously served as Vice President of IT/CIO for Tropicana Entertainment, overseeing all enterprise technology strategy and operations for 10 properties. During his decade-long tenure, he standardized slot/casino, hotel and POS systems to reduce complexity and cost, while aligning the IT strategy to support business objectives and delivered results.

Mr. Long has also held senior IT management positions for Bally’s Park Place Casino, Caesars Entertainment, and Harrah’s Entertainment.

He holds a Bachelor of Science in Computer Science from Shippensburg University in Pennsylvania.

Board of Directors

  • Mr. Zenni is President and Chief Executive Officer of Z Capital Partners, L.L.C. ("Z Capital"), and is responsible for all portfolio management and business operations. Z Capital is a private equity firm with approximately $1.7 billion dollars of committed capital. Mr. Zenni is currently Chairman of the Board of Directors of Mrs. Fields Famous Brands, LLC, RealMex Restaurants, and MSDP Group, LLC, and is a Board member of Affinity Gaming, Neways Holdings, Ltd., and was previously a member of the Board of Directors of Automotive Aftermarket Group, LLC, Bayou Steel Corporation, Smarte Carte Corporation and Sun World International, LLC, all of which were or are portfolio companies.

    Prior to founding Z Capital, Mr. Zenni was President and Managing Partner of Black Diamond Capital Management, L.L.C. ("BDCM") which he founded 1995. Mr. Zenni was jointly responsible for all portfolio management and business operations at BDCM.

    Prior to founding BDCM, Mr. Zenni was a Managing Director and senior member of the Fixed Income/Capital Markets Department of Kidder, Peabody & Co. Inc., formerly a wholly-owned subsidiary of GE Capital Corporation.

    Mr. Zenni is a graduate of Xavier University with a Bachelor of Science degree in economics and attended Xavier University Graduate School of Business. Mr. Zenni is also a member of the advisory board of Cedar Bridge Partners, a Cairo, Egypt and Riyadh, Saudi Arabia based private equity firm which focuses its investment strategy in the Middle East.

Donations & Sponsorships

We believe strongly in giving back to the community it has been a part of for years. We care and are a proud supporter of our community. We support worthwhile initiatives, local and community-minded organizations; charities that help improve our region and benefit those in need. We strive to fulfill many of the hundreds of donation requests we receive each month.

Guidelines for Sponsorship:

  • Organizations must be tax exempt under section 501(c)(3) of the Internal Revenue Code to be considered.
  • Request must be submitted at least 12 weeks in advance of the event.
  • First priority is given to organizations that serve our communities.

Donations Committee will not fund:

  • Organizations that discriminate on the basis of age, disability, gender, race, religion, national origin, or sexual orientation.
  • Organizations whose sole purpose is promotion or support of a specific religion, denomination or religious institution.
  • Requests for monetary grants and / or sponsorships of individuals and teams.
  • Requests for gaming related items (i.e.: playing cards and dice) are prohibited to minors.

Donations Committee will not generally fund:

  • Political causes, candidates, organizations or campaigns.
  • Fraternal, alumni, trade, professional or social organizations.
  • Organizations that are not tax-exempt under section 501(c)3 of the Internal Revenue Code.

Committed to Responsible Gaming

Affinity Gaming adheres to the American Gaming Association (AGA) Code of Conduct for Responsible Gaming. Our company takes steps to promote responsible gaming. The AGA Code of Conduct represents a broad commitment by the entire gaming industry to make the public aware of responsible gaming resources, and incorporates responsible gaming into business operations. Through our company's implementation of the AGA Code of Conduct, Affinity Gaming demonstrates that we are fully committed to the highest level of ethical and responsible policies and procedures in our gaming practices.

To promote responsible gaming, we continue to:

  • Educate our employees through a variety of programs and methods on responsible gaming policies and procedures
  • Provide information to our employees about resources for assistance with problem gaming
  • Provide information to our patrons, through a variety of methods both at our casinos and on our websites, about responsible gaming, win-loss odds on casino games and resources for assistance with problem gaming
  • Provide our patrons who feel they may have a problem the option of enrolling in our Self-Limit Access Program, which will cancel their access to our promotional mailings and casino services such as credit, Players Club privileges and check-cashing for as long a time period as they desire
  • Serve alcoholic beverages responsibly
  • Monitor vigilantly to prevent underage gambling and unattended minors in our casinos
  • Advertise responsibly
  • Fund responsible gaming research

Care for the Environment

Affinity Gaming recognizes the importance of reducing our carbon footprint. We continue to research and adopt environmentally sustainable programs to support a clean world. We have proactively introduced conservation and sustainable practices into our daily operations. We take great pride in protecting the future.

The ongoing conservation steps include the following:

  • Transitioned from disposable glasses, plates and silverware to regular utensils, cutting down waste within dining facilities.
  • Traditional drain cleaners were replaced with environmentally-friendly, bacterial-based cleaners.
  • Lost cell phones are donated to a local charitable organization.
  • Trees and plants that are no longer viable are sent to a local composter.
  • Recycles all electronic waste, compact fluorescent light bulbs, fryer oil, and cardboard.
  • Installation of new HVAC systems. The systems conserve energy and draws fresh air into our property when proper weather condition allow.
  • Installation of an state of the art air quality control system which minimizes smoke and air particulates.
  • Non-smoking areas on our gaming floors.
  • Shredding and recycling paper receptacles placed in administrate offices.

Company History

Affinity Gaming traces its roots to the Terrible Herbst Oil Company founded in 1959 by Ed Herbst which owns gasoline stations throughout Nevada, California, Utah and Arizona. Herbst Gaming was formed by brothers Ed Herbst, Troy Herbst and Tim Herbst to service the slot machines in their gas stations in 1987. Over the next years here’s a look at the history of Terrible Herbst becoming Affinity Gaming.

2006 Sands Regent announced plans of acquirement by Herbst
2007

Herbst purchased four (4) casinos to include: the Red Hawk Sports Bar, Sands Regent and Rail City Casino for $119 million

Herbst Gaming acquired Primm Valley Casino Resorts from MGM Mirage (now MGM Resorts International) for $400 million

2008 Operations of the two companies represented 80 gasoline stations and 600 different slot route locations
2009

Herbst announced its plans to enter a pre-arranged Chapter 11 Bankruptcy whereby it would keep its slot routes but give ownership of its casinos to its creditors thus splitting its current operations into two holding companies

Herbst would continue to manage the casinos

2010 Herbst emerged from Chapter 11, under new ownership
2011 Herbst changed its name to Affinity Gaming, LLC
2012

Affinity sold the Terrible's Town Casino and Terrible's Lakeside Casino & RV Park in Pahrump and much of its slots route operations to Golden Gaming

Golden in turn sold to Affinity three (3) casinos in Black Hawk, Colorado: the Golden Gates, Golden Gulch, and Golden Mardi Gras

Affinity sold the Terrible's Searchlight casino and the remainder of its slots routes to JETT Gaming, owned by the Herbst family

2013 Affinity sold three of its Northern Nevada casinos for $19.2 million to Truckee Gaming, a new company led by Affinity Executive Ferenc Szony
2014

Affinity Gaming announced Michael Silberling was the new Chief Executive Officer

Silberling, who succeeded David Ross was also named a member of the Board of Directors
